Northwest SEED is looking for a skilled volunteer to work with them in reviewing the organization’s current by-laws and providing guidance around bylaw amendments and alignment with the organization’s strategic priorities.
Northwest SEED has done significant work in the last year to refine and hone the organization’s mission and vision. In addition, the organization has grown significantly since its formation in 2001, when the original bylaws were created. With a new strategic plan in place and a new emphasis on board governance, it’s time for NW SEED to review the effectiveness of bylaws and ensure their alignment with the strategic priorities and growth plans. The current bylaws were created in 2001, amended in 2004 and 2008. A thorough review of bylaws has not been completed since 2008.
The goal of the volunteer project is for Northwest to gain a better understanding of best practices and, potentially, amend their bylaws to keep in step with current standards and ensure flexibility in governance and organizational growth. A skilled volunteer will work primarily with NW SEED’s bylaws taskforce consisting of members of the board and with staff support.
Examples of work to be performed:
- Meet with taskforce and ED/key staff to review current bylaws and discuss concerns/problem areas
- Assess effectiveness and alignment of current bylaws with needs and industry best practices
- Recommend and draft bylaw changes and/or other policies and procedures to address changes
- Identify next steps and process for ratification of bylaws through appropriate agencies (state, federal, IRS etc.)
